OVERVIEW
Welcome to ProfPrint. The terms "we", "us" and "our" refer to Canvartie Decoration Products LLC, doing business as ProfPrint ("ProfPrint"), a custom transfer print shop located in Santa Ana, California. ProfPrint operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with custom-printed DTF (direct-to-film) and UV DTF transfers and related products (the "Services"). ProfPrint is powered by Shopify, which enables us to provide the Services to you.
These terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services. Please read them carefully — they include important information about your legal rights, including warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you should not use or access our Services.
1. Access and account
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state of residence. To use the Services, you may be asked to provide information such as your email address and billing, payment and shipping information. You represent and warrant that all information you provide is correct, current and complete, and that you have all rights necessary to provide it.
You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign or license your account to any other person.
2. Our products
All transfers sold through the Services are physical products: printed film transfers that are manufactured in-house and shipped to you or picked up locally. We do not sell or deliver digital files, digital downloads, or artwork licenses.
We make every effort to represent our products accurately. However, printed colors can differ from what you see on screen: monitors display color in RGB light while transfers are printed with ink on film, and device settings, brightness and calibration vary. Minor color variance between screen previews and printed output, and between print runs, is a normal characteristic of the printing process and is not a defect.
Product sizes refer to the printable film dimensions stated on the product page. All descriptions of products are subject to change at any time without notice. We reserve the right to discontinue any product and to limit quantities on a case-by-case basis.
3. Orders
When you place an order, you are making an offer to purchase. ProfPrint reserves the right to accept or decline your order for any reason at its discretion — including where uploaded artwork does not meet our file requirements or appears to infringe third-party rights (see Sections 4 and 5). Your order is not accepted until we confirm acceptance, and we must receive and process your payment before your order is accepted. If we do not accept, change, or cancel an order, we will attempt to notify you using the email, billing address and/or phone number provided with the order.
Purchases for business use, decoration and resale of finished garments or goods are welcome — many of our customers are print shops, apparel decorators and small businesses. Reselling the transfers themselves, applied or unapplied, as your own product is likewise permitted; what you may not do is misrepresent ProfPrint as the manufacturer of goods we did not produce.
Your purchases are subject to return, reprint or exchange solely in accordance with our Return & Cancellation Policy.
4. Custom products, artwork files and cancellation
Custom transfers (by-size orders, uploaded gang sheets, and gang sheets created in our builder) are manufactured from the files you provide, at the dimensions and quantities you select.
- Print as uploaded. Unless a review or proofing service is expressly offered on the product page, we print your file as you uploaded and approved it. You are responsible for resolution, transparency, spelling, orientation, colors and sizing. Our Artwork & File Requirements page describes what makes a file print-ready.
- Backgrounds and transparency. Areas that are not transparent in your file — including white or colored canvases — are part of the artwork and will print.
- Cancellation window. Because production is fast, custom orders can be changed or cancelled only before production begins. Once production has started, custom orders cannot be changed, cancelled or refunded except as described in our Return & Cancellation Policy.
- Order metadata. Your order line includes the configuration you selected (sizes, quantities, files). Please review your cart carefully before checkout.
5. Your artwork and intellectual property
You keep your rights. You retain all ownership rights in artwork, images and files you upload to the Services. We claim no ownership over your artwork.
License to print. By uploading a file, you grant ProfPrint a limited, non-exclusive, royalty-free license to store, reproduce, resize, process and print that file solely as needed to produce your order, provide reorder functionality, handle quality control and reprints, and comply with legal obligations. This license ends when the file is deleted from our systems, except as needed for legal record-keeping.
Your warranties. By uploading a file you represent and warrant that: (i) you own the artwork or hold all rights, licenses and permissions necessary to have it printed; (ii) the artwork does not infringe any third party's copyright, trademark, right of publicity or other rights; and (iii) the artwork does not contain unlawful content. We do not review uploads for rights clearance, and printing an order does not constitute a determination that your artwork is non-infringing — responsibility for rights clearance rests with you.
Refusal. We reserve the right to refuse or cancel any order that, in our judgment, appears to infringe third-party rights or contains unlawful content, and to remove associated files.
Indemnity for artwork claims. You agree to indemnify, defend and hold harmless ProfPrint from any losses, damages, liabilities or claims, including reasonable attorneys' fees, arising out of artwork you submitted for printing, including claims of copyright or trademark infringement.
IP complaints. If you believe artwork printed or displayed through the Services infringes your intellectual property rights, contact us using the information in the Contact section below with (i) identification of the work claimed to be infringed, (ii) the material you believe is infringing, and (iii) your contact information. We review such notices promptly and remove or disable material where appropriate.
6. Prices and billing
Prices, discounts and promotions are subject to change without notice. The price charged will be the price in effect at the time the order is placed, as set out in your order confirmation email. Unless expressly stated, posted prices do not include taxes or shipping. Payment can be made using the payment methods shown at checkout. In the event of a pricing error, we reserve the right to notify you and cancel the order or request the price difference.
You agree to provide current, complete and accurate purchase and payment information, and you represent that you are duly authorized to use the payment method provided and will pay the charges you incur at the posted prices, including shipping and applicable taxes.
7. Shipping and delivery
Shipping methods, rates and processing times are described in our Shipping Policy. All delivery times are estimates only and are not guaranteed; we are not responsible for delays caused by shipping carriers or events outside our control. Once we transfer products to the carrier, title and risk of loss pass to you. We currently ship within the United States only.
8. Local pickup
Orders may be picked up at our Santa Ana, California location when local pickup is selected at checkout. We will notify you when your order is ready. Pickup orders are held for a reasonable period; if an order is not collected after repeated notice, we may contact you to arrange shipping (shipping charges may apply) or treat the order as abandoned in accordance with applicable law.
9. Returns, reprints and refunds
Because custom transfers are made to order from your files, they are not eligible for change-of-mind returns. Orders that arrive damaged, defective or misprinted are covered by our reprint guarantee. The complete rules — including timeframes and how to submit a claim — are in our Return & Cancellation Policy, which is incorporated into these Terms.
10. Our intellectual property
The Services — including all trademarks, brands, text, displays, images, graphics, video and audio, and the design, selection and arrangement thereof — are owned by ProfPrint, its affiliates or licensors and are protected by U.S. and foreign copyright, trademark and other intellectual property laws. These Terms permit you to use the Services for ordering products and for your internal business purposes only. Except as expressly provided, nothing in these Terms grants you a license under any intellectual property of ProfPrint, Shopify or any third party. ProfPrint's names, logos and slogans are trademarks of ProfPrint; Shopify's marks belong to Shopify; all other marks belong to their respective owners.
11. Optional tools
You may be provided with access to tools offered by third parties as part of the Services — for example, the gang sheet builder and file upload tools. We provide access to such tools "as is" and "as available", without warranties of any kind, and we shall have no liability arising from your use of optional third-party tools. Any new features added to the Services are also subject to these Terms.
12. Third-party links
The Services may contain links to third-party websites. We are not responsible for the content or accuracy of third-party materials or websites, and we are not liable for any harm or damages related to your use of them. Please review the applicable third party's policies before you transact with them.
13. Relationship with Shopify
ProfPrint is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with ProfPrint. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and ProfPrint, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with ProfPrint.
14. Privacy policy
All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's Privacy Policy. Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Uploaded artwork files are handled as described in Section 5 and our Privacy Policy.
15. Feedback
If you submit ideas, suggestions, reviews or other feedback ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose. You represent that you own or have the necessary rights to your Feedback, that you have disclosed any compensation received in connection with it, and that it does not violate any third party's rights. We are under no obligation to keep Feedback confidential, compensate you for it, or respond to it, and we may remove Feedback that we determine to be unlawful or objectionable. For clarity, "Feedback" does not include artwork you upload for printing — that is governed by Section 5.
16. Errors, inaccuracies and omissions
Occasionally, information in the Services may contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct any errors and to change or update information or cancel orders if any information is inaccurate, at any time without prior notice (including after you have submitted your order).
17. Prohibited uses
You may access and use the Services for lawful purposes only. You may not use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any regulations or laws; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, defame or harm any person; (e) to transmit false or misleading information; (f) to submit material that does not comply with these Terms; (g) to send spam or other unsolicited promotional material; (h) to impersonate any person or entity; or (i) to engage in conduct that restricts or inhibits anyone's use of the Services or exposes ProfPrint, Shopify or users to liability.
In addition, you agree not to: (a) upload viruses or malicious code; (b) reproduce, copy, sell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm or pretext the Services; (e) use any robot, spider, scraper, AI tool or automated means to access the Services except as permitted in Section 18; or (f) interfere with or circumvent the security features of the Services. We reserve the right to suspend or terminate your access for violating any part of these Terms.
18. Agents
18.1 This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using a person's device, without direct supervision.
18.2 No Agent may access, use, or interact with the Services unless, at all times, it identifies itself and operates in strict accordance with the requirements in section 18.4 below. In addition, no Agent may access, use, or interact with the Services if we have requested that the Agent refrain from doing so.
18.3 We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with the Services.
18.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request's user agent string: "Agent/[agent name]"; (ii) not conceal or obfuscate that any access, use, or interactions are from an Agent, such as by (a) mimicking human behavior and interaction patterns, or (b) completing or circumventing CAPTCHAs or measures intended to distinguish computer use from humans; (iii) respond truthfully to any question or prompt seeking to determine if interactions are coming from a human or a computer; and (iv) not circumvent or otherwise avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.
19. Termination
We may terminate this agreement or your access to the Services (or any part thereof) at our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. Sections that by their nature should survive termination — including Intellectual Property, Your Artwork and Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law and Privacy Policy — will continue to apply.
20. Disclaimer of warranties
The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information, and any reliance you place on it is strictly at your own risk.
EXCEPT AS EXPRESSLY STATED BY PROFPRINT (INCLUDING OUR REPRINT GUARANTEE AS DESCRIBED IN OUR RETURN & CANCELLATION POLICY), THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.
21. Limitation of liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL PROFPRINT, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, EVEN IF ADVISED OF THEIR POSSIBILITY.
22. Indemnification
You agree to indemnify, defend and hold harmless ProfPrint, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party — including third-party claims arising from artwork you submitted for printing (Section 5), or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims.
23. Severability
If any provision of these Terms of Service is determined to be unlawful, void or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed; such determination shall not affect the validity and enforceability of the remaining provisions.
24. Waiver; entire agreement
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms of Service and any policies or operating rules posted by us on this site constitute the entire agreement between you and us and govern your use of the Services, superseding any prior agreements. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.
25. Assignment
You may not delegate, transfer or assign this agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. We may transfer, assign or delegate these Terms and our rights and obligations without consent or notice to you.
26. Governing law
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You and ProfPrint consent to venue and personal jurisdiction in the state and federal courts located in Orange County, California.
27. Changes to these Terms of Service
You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms by posting updates to our website. We will notify you of material changes in accordance with applicable law. Your continued use of the Services following the posting of changes constitutes acceptance of those changes.
